Actuellement, la Secr\u00e9taire d&rsquo;\u00c9tat \u00e0 l&rsquo;\u00e9galit\u00e9 entre les femmes et les hommes, Mme Leroy, se penche sur la transposition de cette directive dans la l\u00e9gislation nationale. GUBERNA, l&rsquo;Institut belge des administrateurs, pr\u00e9conise une approche non contraignante (\u2018\u2019soft law\u2019\u2019) par le biais d&rsquo;amendements au Code belge de gouvernance d&rsquo;entreprise 2020.<!--more--><\/p>\n<p><em>\u201cEn 2020, plus de la moiti\u00e9 des comit\u00e9s ex\u00e9cutifs des soci\u00e9t\u00e9s belges cot\u00e9es en bourse \u00e9taient compos\u00e9s exclusivement d&rsquo;hommes\u201d<\/em>&#8230; S&rsquo;appuyant sur les demandes pressantes du Parlement europ\u00e9en et de la Commission europ\u00e9enne, la directive adopt\u00e9e par le Parlement Europ\u00e9en vise \u00e0 assurer une repr\u00e9sentation \u00e9gale des hommes et des femmes aux postes d\u2019administrateurs. Les mesures sont limit\u00e9es aux grandes soci\u00e9t\u00e9s cot\u00e9es en bourse.<\/p>\n<p>GUBERNA approuve les objectifs de la directive, mais recommande l&rsquo;utilisation d&rsquo;une l\u00e9gislation non contraignante (\u00ab\u00a0soft law\u00a0\u00bb) en ce qui concerne l\u2019objectif minimal de 33% de tous les postes d&rsquo;administrateurs, y compris les postes au sein du management ex\u00e9cutif, occup\u00e9s par le \u00ab\u00a0sexe sous-repr\u00e9sent\u00e9\u00a0\u00bb. L&rsquo;identit\u00e9 du sexe sous-repr\u00e9sent\u00e9 dans ce cas ne fait aucun doute. En 2020, plus de la moiti\u00e9 des comit\u00e9s ex\u00e9cutifs des soci\u00e9t\u00e9s cot\u00e9es en bourse \u00e9taient compos\u00e9s uniquement d&rsquo;hommes.<\/p>\n<p>Plus pr\u00e9cis\u00e9ment, GUBERNA propose d&rsquo;adapter le Code belge de gouvernance d&rsquo;entreprise 2020. Alors que le Code des soci\u00e9t\u00e9s et associations ne s&rsquo;adresse qu&rsquo;aux administrateurs au sein des organes d&rsquo;administration formels, le Code 2020 s&rsquo;adresse quant \u00e0 lui \u00e0 tous les dirigeants, y compris au management ex\u00e9cutif. Le Code 2020 a d\u00e9j\u00e0 prouv\u00e9 son efficacit\u00e9 en ce qui concerne les conseils d&rsquo;administration de nos entreprises cot\u00e9es en bourse. En d\u00e9cembre 2022, 37 % des administrateurs (principalement non-ex\u00e9cutifs) y sont des femmes, contre moins de 10 % avant l&rsquo;entr\u00e9e en vigueur de la r\u00e9glementation sur les quotas en 2011. En outre, le Code 2020 permet, par le biais de notes explicatives, de cibler l&rsquo;ensemble de la force de travail des entreprises et de susciter un changement de culture dans ce domaine \u00e9galement.<\/p>\n<p>Par ailleurs, l&rsquo;approche non contraignante pr\u00e9sente d\u2019autres avantages importants. Ses recommandations permettent aux entreprises de s&rsquo;engager dans un travail sur mesure, avec la flexibilit\u00e9 n\u00e9cessaire, sous le contr\u00f4le ad\u00e9quat de la Commission Corporate Governance.<\/p>\n<p>Cette approche permet d&rsquo;\u00e9viter l&rsquo;\u00e9mergence de ce que l&rsquo;on appelle les \u00ab\u00a0pratiques de d\u00e9couplage\u00a0\u00bb, dans lesquelles les entreprises affirment publiquement qu&rsquo;elles font des efforts sans pour autant les internaliser compl\u00e8tement. Enfin, elle garantit la transparence vis-\u00e0-vis des march\u00e9s financiers et des parties prenantes concern\u00e9es, y compris les femmes elles-m\u00eames. Le code 2020 garantira-t-il \u00e0 l&rsquo;avenir la pr\u00e9sence d&rsquo;un plus grand nombre de femmes dirigeantes au sein de nos entreprises cot\u00e9es en bourse ?
