Comment am\u00e9liorer notre appr\u00e9hension de cette probl\u00e9matique cl\u00e9 ? Le groupe Mercer \u00e9dite son tout premier \u00abPeople risks in M&amp;A Transactions Report\u00bb, un nouveau rapport sur les risques relatifs au personnel lors de fusions et acquisitions (M&amp;A).<!--more--><\/h1>\n<p>La gestion des talents pendant la phase de transition constitue le d\u00e9fi majeur pour les professionnels des M&amp;A. Mercer a men\u00e9 une \u00e9tude approfondie sur les aspects RH lors des M&amp;A et publie \u00e0 pr\u00e9sent un rapport d\u00e9taill\u00e9 \u00e0 ce sujet. Le rapport comprend de tr\u00e8s nombreuses exp\u00e9riences de parties ayant \u00e9t\u00e9 impliqu\u00e9es dans une op\u00e9ration de M&amp;A, ainsi que des conseils destin\u00e9s \u00e0 aider la direction de l\u2019entreprise et les responsables RH afin qu\u2019ils prennent des d\u00e9cisions plus \u00e9clair\u00e9es en ce qui concerne le capital humain lors d\u2019une fusion ou d\u2019une acquisition.<\/p>\n<p>En 2015, le \u00ab\u00a0Mergers &amp; Acquisitions Review (First 9 Months 2015)\u00a0\u00bb de Thomson Reuters faisait \u00e9tat d\u2019une augmentation de 32% des fusions et acquisitions par rapport \u00e0 2014, pour une valeur totale de 4,7 milliards de dollars (soit 42% de plus qu\u2019en 2014). Les op\u00e9rations de M&amp;A transfrontali\u00e8res ont augment\u00e9 de 27% par rapport \u00e0 2014. Chaque transaction entra\u00eene une panoplie de risques, d\u2019autant plus lorsqu\u2019elle est transfrontali\u00e8re. Selon l\u2019\u00e9tude de Mercer, les risques RH continuent \u00e0 pr\u00e9dominer. Il s\u2019agit de points n\u00e9vralgiques, comme le maintien des collaborateurs, l\u2019int\u00e9gration des deux cultures d\u2019entreprise, le niveau g\u00e9n\u00e9ral de r\u00e9mun\u00e9ration dans les deux entit\u00e9s et, \u00e9l\u00e9ment principal, la gestion des talents.<\/p>\n<p><strong><em>Quelques conseils ?<\/em><\/strong><\/p>\n<p>L\u2019\u00e9tude r\u00e9v\u00e8le que quand les aspects humains d\u2019une fusion ou acquisition sont g\u00e9r\u00e9s aussi rigoureusement que les risques du bilan et les investissements de capital, le \u2018rendement\u2019 est meilleur. Plus de 50 % des personnes interrog\u00e9es affirment que leur op\u00e9ration de M&amp;A a pris du retard, ce qui n\u2019est bien s\u00fbr pas une bonne nouvelle pour l\u2019int\u00e9gration rapide des entreprises et des collaborateurs, pour r\u00e9aliser une plus-value rapide.<\/p>\n<p><em>Pour les acheteurs dans une op\u00e9ration de M&amp;A:<\/em><br \/>\n\u2022 \u00c9valuez l\u2019\u00e9quipe de direction et les collaborateurs aux postes-cl\u00e9s, dressez la carte de leurs comp\u00e9tences et de leur savoir: sont-elles en mesure de r\u00e9aliser la strat\u00e9gie ? De diriger efficacement ? D\u2019appliquer les changements culturels et d\u2019atteindre des r\u00e9sultats?<br \/>\n\u2022 D\u00e9veloppez des strat\u00e9gies de r\u00e9tention qui fonctionnent.<br \/>\n\u2022 Pr\u00e9voyez un plan clair pour la gestion de la culture, de la communication et du changement.<br \/>\n\u2022 Assurez-vous que l\u2019administration du personnel fonctionne bien et positionnez la fonction RH de sorte qu\u2019elle soutienne les objectifs de l\u2019entreprise.<br \/>\n\u2022 Mettez en place une strat\u00e9gie de gouvernance et de r\u00e9mun\u00e9ration au niveau de l\u2019entreprise.<br \/>\n\u2022 Faites une estimation des conditions du march\u00e9 en termes de r\u00e9mun\u00e9ration et positionnez votre enveloppe salariale globale de sorte \u00e0 pouvoir attirer et conserver les talents appropri\u00e9s. Cela concerne le salaire, mais aussi par exemple les avantages extral\u00e9gaux et les incentives.<\/p>\n<p><em>Pour les vendeurs dans une op\u00e9ration de M&amp;A:<\/em><br \/>\n\u2022 Identifiez les collaborateurs aux positions cruciales et envisagez un programme de r\u00e9tention pour eux.<br \/>\n\u2022 Recourez \u00e0 des conseillers dans le domaine de la due diligence (l\u2019\u00e9valuation financi\u00e8re de l\u2019entreprise) pour acc\u00e9l\u00e9rer le processus et faire grimper votre prix.<br \/>\n\u2022 Envisagez de proposer un Transition Services Agreement, dans lequel vous, en tant qu\u2019organisation vendeuse, continuez \u00e0 apporter un soutien RH pendant la phase de transition. Cela all\u00e8ge le risque potentiel sur votre r\u00e9putation, et vous aide \u00e0 vous retirer correctement de l\u2019organisation que vous vendez.<br \/>\n\u2022 \u00c9laborez un plan clair pour la gestion des talents et les collaborateurs qui seront ou non transf\u00e9r\u00e9s \u00e0 l\u2019entreprise fusionn\u00e9e\/au repreneur.<\/p>\n<p>En raison de la demande accrue dans l\u2019acquisition ou la fusion d\u2019entreprises, la position des vendeurs est aujourd\u2019hui renforc\u00e9e. Le march\u00e9 des M&amp;A est g\u00e9n\u00e9ralement devenu plus concurrentiel. Par rapport \u00e0 il y a trois ans, 41% des acheteurs disposent de moins de temps pour r\u00e9aliser la due diligence. 33% des acqu\u00e9reurs affirment recevoir moins d\u2019informations des vendeurs \u00e0 cause de la concurrence accrue. 34% des vendeurs disent devoir investir de plus en plus dans les RH de l\u2019entreprise qu\u2019ils vendent alors qu\u2019ils se trouvent dans une situation dans laquelle ils se retirent de cette entreprise. Le march\u00e9 plus concurrentiel encourage g\u00e9n\u00e9ralement les entreprises \u00e0 prendre plus de risques et des risques neufs.<\/p>\n<p>50% des personnes interrog\u00e9es ont r\u00e9cemment \u00e9t\u00e9 impliqu\u00e9es dans une op\u00e9ration de M&amp;A transfrontali\u00e8re. Par rapport \u00e0 janvier 2014, les r\u00e9pondants qui envisagent une transaction transfrontali\u00e8re ont augment\u00e9 de pr\u00e8s de 25%.
